End User Licence Agreement

Last updated: 24 September 2026

This End User Licence Agreement (“EULA”) governs your authorised access to and use of the Straduct software platform, including app.straduct.com and related software functionality (the “Software”).

This EULA forms part of the agreement between you and Straduct and should be read together with our Terms of Service, Privacy Notice and AI & Human Review Policy.

By creating an account, accepting this EULA electronically or using the Software, you agree to these licence terms.

1. Licence grant

Subject to this EULA, the Terms of Service and any applicable plan or commercial agreement, Straduct grants you a limited, non-exclusive, non-transferable and non-sublicensable right to access and use the Software for your authorised business or professional purposes.

This licence remains in effect only while you are authorised to use Straduct and comply with the applicable agreement.

No ownership rights in the Software are transferred to you.

2. Authorised users

Access to the Software is limited to authorised users associated with an account or workspace.

Each user must use their own authorised credentials unless Straduct expressly supports another authentication arrangement.

You must not share credentials in a way that enables unauthorised persons to access Straduct.

Workspace administrators may manage users, permissions, configuration and access to available functionality.

3. Permitted use

You may use the Software to access functionality made available through your account, including:

  • company and competitor intelligence;
  • market and external research;
  • evidence and source management;
  • specialist intelligence and recommendations;
  • Search & AI Visibility analysis;
  • Radar and monitoring features;
  • reports and historical comparisons;
  • Audience Discovery where available;
  • exports expressly supported by the Software; and
  • other functionality included in your applicable plan or service.

4. Licence restrictions

Except where expressly permitted by Straduct or applicable law, you must not:

  • copy, reproduce, distribute, sell, rent, lease, sublicense or commercially redistribute the Software;
  • provide unauthorised third parties with access to your account or workspace;
  • reverse engineer, decompile, disassemble or attempt to derive the Software's source code;
  • circumvent authentication, access controls, rate limits or security mechanisms;
  • remove or alter copyright, branding, attribution or proprietary notices;
  • use automated means to extract substantial portions of the Software except through supported export functionality;
  • interfere with the availability, integrity or security of Straduct;
  • introduce malware, malicious code or harmful content;
  • use the Software to gain unauthorised access to systems or data;
  • use the Software for unlawful surveillance, harassment, discriminatory profiling or spam; or
  • use the Software in violation of applicable law or third-party rights.

Any restriction on reverse engineering applies only to the extent permitted by applicable law.

5. Ownership and intellectual property

Straduct and its licensors retain all rights, title and interest in and to the Software, including its source code, object code, architecture, interface, workflows, designs, prompts, methodologies, documentation, trademarks and related intellectual property.

Your licence to use the Software does not grant you ownership of Straduct intellectual property.

6. Customer content and workspace data

You retain any rights you hold in content, information and data that you submit to Straduct.

You grant Straduct the rights reasonably necessary to host, store, process, transmit, analyse and display that content for the purpose of operating, securing and providing the Software and Services.

You are responsible for ensuring that you have the lawful authority and necessary rights to submit information that you instruct Straduct to process.

Our handling of personal data is described in the Privacy Notice.

7. AI-assisted functionality

Certain Straduct functionality may use artificial intelligence or machine-learning systems.

AI may assist with research, extraction, summarisation, classification, comparison, analysis and recommendations.

AI-generated output may be incomplete, inaccurate, outdated, biased, misleading or unsupported.

AI assists. Evidence supports. Humans decide.

You are responsible for reviewing important outputs, relevant evidence and appropriate context before acting.

Straduct is not intended to make autonomous decisions producing legal or similarly significant effects on individuals without appropriate human review.

Additional requirements are described in our AI & Human Review Policy.

8. AI configuration and external providers

Where AI functionality is available, a workspace administrator may be required to enable or configure that functionality before it can be used.

Depending on the configuration, Straduct may use platform-managed AI services or, where supported, customer-managed AI credentials, accounts, private endpoints or other supported arrangements.

Selected prompts, workspace context, evidence or other information necessary to provide an AI feature may be transmitted to the relevant AI provider.

Where you choose a customer-managed provider or account, you are also responsible for complying with the terms, security requirements and charges associated with that provider.

9. Research and third-party information

Straduct may retrieve, process or reference information originating from third-party websites, public sources, search services, professional profiles, directories, regulatory sources, news publications or other external sources.

Straduct does not own third-party source material merely because it is referenced or analysed through the Software.

Third-party information may be inaccurate, incomplete, unavailable or changed by the original source.

You are responsible for reviewing material information before relying on it for an important decision.

10. Audience Discovery

Where Audience Discovery functionality is available, the Software may process supported publicly available professional or business signals to identify, organise, filter or enrich potentially relevant profiles.

Public availability does not mean that information may be used without legal or contractual restrictions.

You remain responsible for your subsequent use of exported information, including compliance with applicable data protection law, direct marketing requirements, platform terms and other relevant obligations.

Straduct does not grant permission to contact an individual or use personal data in a manner that would otherwise be unlawful.

11. Regulatory and professional information

The Software may identify developments that could be relevant to legal, regulatory, compliance, financial, employment, cybersecurity or other professional matters.

Such information is provided for intelligence and informational purposes.

Straduct does not provide legal, regulatory, tax, accounting, financial, investment, employment, medical or other regulated professional advice.

Regulatory signals may be incomplete, delayed or not applicable to your specific circumstances.

You should obtain qualified professional advice where appropriate.

12. Software updates and changes

Straduct is a continuously developed cloud service.

We may update, modify, replace or improve Software functionality to maintain security, improve performance, comply with legal requirements or develop the platform.

Some updates may alter the appearance, workflow or functionality of the Software.

Where practical, material changes affecting paid functionality will be handled in accordance with the Terms of Service and applicable law.

13. Beta, preview and experimental functionality

Straduct may make beta, preview, experimental or early-access features available.

Such functionality may be incomplete, less reliable, changed without notice or withdrawn.

Where functionality is clearly identified as beta, preview or experimental, you should not rely on it for critical business decisions without independent verification.

14. Third-party software and services

Parts of Straduct may rely on or integrate with third-party software, infrastructure, APIs, AI services, search services or other external technologies.

Third-party technologies may be subject to separate licence terms, availability restrictions or privacy practices.

Straduct is not responsible for independent changes made by third-party providers, although we will take reasonable steps to manage dependencies forming part of our Services.

15. Security

You must use reasonable security practices when accessing Straduct.

You must not knowingly attempt to test, scan, penetrate or circumvent Straduct security controls without prior written authorisation.

If you become aware of a suspected vulnerability, compromised account or security incident involving Straduct, contact support@straduct.com.

Additional information is available on our Security page.

16. Suspension of the licence

Straduct may temporarily suspend or restrict access where reasonably necessary to:

  • protect the security or integrity of the Software;
  • prevent suspected unlawful or abusive activity;
  • investigate a material breach of this EULA or the Terms;
  • respond to a legal requirement;
  • address non-payment of applicable fees; or
  • prevent material harm to Straduct, its users or third parties.

Where appropriate and reasonably possible, Straduct will provide notice and an opportunity to resolve the issue.

17. Termination

Your licence ends when your right to use the relevant Straduct account or Service ends.

You may stop using Straduct at any time.

Subscription cancellation, account closure and related commercial consequences are governed by the applicable Terms of Service and billing arrangement.

On termination, you must cease accessing and using functionality for which you no longer hold an authorised licence.

Provisions concerning intellectual property, restrictions, confidentiality, liability and other provisions that by their nature should survive termination will continue where legally appropriate.

18. Data following termination

Account deletion, workspace deletion and personal data erasure are subject to our Privacy Notice, applicable contractual arrangements and legal requirements.

Termination of a licence does not necessarily require immediate deletion of information that Straduct must lawfully retain for security, legal, accounting, dispute-resolution or other legitimate purposes.

19. No guarantee of particular results

The Software is designed to support research and business decision-making.

Straduct does not guarantee that use of the Software will produce increased revenue, improved rankings, additional customers, regulatory compliance, competitive advantage or another specific business outcome.

20. Software warranties

Straduct aims to provide reliable and useful Software but cannot guarantee uninterrupted operation or that every output, source, analysis or feature will always be error-free.

To the maximum extent permitted by applicable law, the Software is provided on an “as available” basis.

Nothing in this EULA excludes statutory warranties, remedies or rights that cannot lawfully be excluded.

21. Limitation of liability

Liability relating to the Software is subject to the limitations set out in the Terms of Service.

Nothing in this EULA excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

22. Relationship with other terms

This EULA governs the licence to access and use the Software.

The Terms of Service govern the broader provision of Straduct Services, including commercial arrangements, subscriptions, pay-per-run Services and related obligations.

If there is an inconsistency between this EULA and a separately signed agreement with Straduct, the separately signed agreement will control to the extent of the inconsistency.

23. Changes to this EULA

We may update this EULA where the Software, technology, security requirements or applicable laws change.

The latest version and update date will be published on this page.

Where a material change affects existing users, Straduct will take reasonable steps to provide appropriate notice and, where required, request renewed acceptance.

24. Governing law

This EULA is governed by the laws of Ireland, without prejudice to mandatory rights that may apply under another jurisdiction's laws.

Subject to mandatory consumer rights where applicable, disputes relating to this EULA will be subject to the jurisdiction of the courts of Ireland.
